Minnesota Organization of Parents of Blind Children

Division of the National Federation of the Blind of Minnesota

As adopted October 23, 2009

 

Article I:  NAME

 

The name of this organization shall be the Minnesota Organization of Parents of Blind Children, Division of the National Federation of the Blind of Minnesota, hereinafter referred to as the Minnesota Organization of Parents of Blind Children.

 

Article II: PURPOSE

 

Section 1.

 

The purpose of this organization shall be to create a climate of opportunity for blind children in home, school, and society; to provide information and support to parents of blind children; to facilitate the sharing of experience and concerns among parents of blind children; to develop and expand resources available to parents and their blind children; to help parents of blind children gain understanding and perspective through partnership and contact with blind adults; and to function as an integral part of the National Federation of the Blind in its ongoing effort to eliminate discrimination and prejudice against the blind and to achieve for the blind security, equality, and opportunity.

 

Section 2.

 

The Minnesota Organization of Parents of Blind Children must not merely be a social organization but must formulate programs and actively work to promote the economic and social betterment of the blind.

 

Article III: MEMBERSHIP

Section 1.  Qualifications.

 

The members of this organization shall be parents of blind children, educators of blind children, and others interested in promoting the purposes of this organization.  Since this organization is a division or chapter of the National Federation of the Blind of Minnesota, the members of this organization by virtue of their membership will be members of the National Federation of the Blind of Minnesota, the National Federation of the Blind, and the National Organization of Parents of Blind Children, and shall have the same rights, privileges, and responsibilities as other members of the National Federation of the Blind.  Membership is concurrent with membership in the National Federation of the Blind of Minnesota, and termination of that membership shall terminate membership in this organization.

 

Section 2.  Admittance to Membership.

 

Persons may become members of this organization by a two-third (2/3) vote of the regular members present and voting at a regular meeting.

 

Article IV OFFICERS AND BOARD OF DIRECTORS

 

Section 1: Officers and their duties

 

The officers of this organization shall be: President, Vice-President, Secretary, Treasurer, and two (2) board members.  The duties of those officers shall be those customarily associated with their respective offices.  The officers and board members shall constitute the Board of Directors.

 

Section 2:  Elections

 

The officers and board members shall be elected during even numbered years by a majority vote of the members of this organization present and voting at the annual meeting.  There shall be no proxy or cumulative voting.  If no nominee receives a majority vote on the first ballot, the name of the person receiving the fewest votes shall be dropped from the list of nominees, and a second ballot shall be taken.  This procedure shall continue until one of the nominees has received a majority vote from the regular members present and voting.  Vacancies shall be filled by special election, and the person elected shall serve until the next scheduled election.

 

Article V MEETINGS

 

Section 1:  Annual Meeting

 

The Minnesota Organization of Parents of Blind Children, Division of the National Federation of the Blind of Minnesota, shall hold its annual meeting at the time and place of the annual convention of the National Federation of the Blind of Minnesota.  At least five (5) members must be present to constitute a quorum to conduct business.  The Board of Directors shall conduct the business of the Organization between annual meetings.

 

Section 2:  Other Meetings

 

Other meetings of the Division shall be held upon the call of the president or a majority of the members of the Board of Directors.  At least five (5) members must be present to constitute a quorum to conduct business.

 

Section 3:  Voting

 

No person may vote who is in arrears in the payment of his or her dues. 

 

Article VI DUES

 

The dues for the members of the Minnesota Organization of Parents of Blind Children shall be ten dollars ($10.00) per year per person, payable in advance of voting.  These dues include the membership dues for the National Federation of the Blind of Minnesota and the National Organization of Parents of Blind Children.  The Minnesota Organization of Parents of Blind Children will forward to the National Federation of the blind of Minnesota and the National Organization of Parents of Blind Children that portion of the collected dues necessary to additionally cover membership in those two organizations. 

 

Article VII:  DISBURSEMENT OF FUNDS

 

The funds of this organization shall be deposited in a bank to be selected by the treasurer with the approval of the president.  All financial obligations of the organization shall be discharged by check, issued on written order of the president, and signed by the treasurer.

 

Article VIII:  AMENDMENTS

 

This constitution may be amended by a two-thirds vote of the members present and voting at any meeting of the Minnesota Organization of Parents of Blind Children, but the amendments shall not become effective until approved by the Board of Directors of the National Federation of the Blind of Minnesota.

 

Article IX:  DISSOLUTION

 

In the event of the dissolution of this organization, all assets shall go to the National Federation of the Blind of Minnesota.

 

Article X:  AFFILIATION

 

This organization shall be a chapter of the National Federation of the Blind of Minnesota and shall furnish to the National Federation of the Blind of Minnesota annually, on or before June 1, a list of the names and addresses of its members and elected officers.  A copy of this constitution and amendments thereto shall be sent to the President of the National Federation of the Blind of Minnesota without delay.  This organization shall comply with the provisions of the Articles of Incorporation and Bylaws of the National Federation of the Blind of Minnesota and the provisions of the contract appearing on the back of the charter of affiliation issued to state affiliates by the National Federation of the Blind.  Policy decisions of the National Federation of the Blind and the National Federation of the Blind of Minnesota (whether made by their respective conventions or boards of directors) are binding on this organization, and this organization shall participate affirmatively in carrying out such policy decisions.  In addition, this organization will be an affiliate of the National Organization of Parents of Blind Children, and membership dues shall be sent to the National Organization of Parents of Blind Children annually as determined by the National Organization of Parents of Blind Children.  A list of the officers shall be sent to the National Organization of Parents of Blind Children annually..
