Constitution as amended October 31, 2014.
Article I: NAME
The name of this organization shall be Minnesota Association of Blind Students (MABS).
Article II: PURPOSE
The general purpose of this organization shall be to promote the welfare of the blind students of Minnesota and to function as an integral part of the National Federation of the Blind.
Article III: MEMBERS
Section I. Qualifications.
Any blind or sighted person who has demonstrated a constructive interest in the goals and policies of the National Federation of the Blind is eligible for membership in this organization.
Members and applicants for membership must not indulge in attacks upon the officers, Board members, leaders, or members of the National Federation of the Blind or its affiliates outside of the organization. This requirement shall not be interpreted to interfere with the right of a member to carry on a political campaign within the organization for election to office or to achieve policy changes. No member may join or support any temporary or permanent organization inside the Federation which has not received the sanction and approval of the membership and/or the Board of Directors of the National Federation of the Blind of Minnesota.
Section 2. Classifications.
Membership in this organization shall be of two classifications: regular membership and associate membership.
1. At least a majority of the regular members of this organization must be blind. Regular members of this organization have the right to vote, serve on committees, speak on the floor, and hold office.
2. Associate members shall have all the rights and privileges of regular members except that they may not vote or hold office.
Section 3. Admittance to Membership.
Persons may become members of this organization by a two-third (2/3) vote of the regular members present and voting at a regular meeting.
Section 3: Discipline
Any member may be suspended, expelled or otherwise disciplined for misconduct or for activity unbecoming to a member of this organization by a two-thirds (2/3) vote of the members present and voting at a regular or special meeting or by a two-thirds (2/3) vote of the Board of Directors of the National Federation of the Blind of Minnesota. There must be a good cause and a good faith effort must have been made to try to resolve the problem by discussion and negotiation. If the action is to be taken by the members at a meeting, notice of such action must be given fifteen (15) days prior to such a meeting of the members. Any person who feels that he/she has been unjustly disciplined by this organization may appeal to the Board of Directors of the National Federation of the Blind of Minnesota, which may (in its discretion) consider the matter and make a binding decision.
Article IV: OFFICERS AND THEIR DUTIES
Section 1: Officers and Duties
There shall be elected annually a President, First Vice President, Second Vice President, Secretary, and Treasurer. The terms of these officers shall begin at the close of the meeting at which they are elected and qualified. The duties of each officer shall be those ordinarily associated with that office. A majority of the officers must be blind. The President and Vice Presidents must be blind. All the officers must be students. A student constitutes an individual who is receiving primary, secondary, or post-secondary education. Post secondary education shall be defined as college, technical college, vocational school, or a blind adult training center. The student must be participating in classes on a regular bases.
Section 2: Election
Elections shall be held at the MABS business meeting conducted during the Annual Convention of the National Federation of the Blind of Minnesota. Officers shall be elected by a majority vote of the regular members who are present and voting. There shall be no proxy or cumulative voting. If no nominee receives a majority vote on the first ballot, the name of the person receiving the fewest votes shall be dropped from the list of nominees, and a second ballot shall be taken. This procedure shall continue until one of the nominees has received a majority vote from the regular members present and voting. Vacancies shall be filled by special election, and the person elected shall serve until the next scheduled election.
Article VI: MEETINGS
Section 1: Regular Meetings
This organization shall hold regular meetings at a time and place to be determined by the membership. At least five (5) regular members must be present to constitute a quorum to conduct business.
Section 2: Special Meetings
The President may call a special meeting at any time he or she, or a majority of the Board of Directors, deems such action to be necessary. At such special meeting at least five (5) regular members must be present to constitute a quorum to conduct business.
Article VII: COMMITTEES
The President may appoint such committees as he/she or the organization deems necessary.
Article VIII: AFFILIATION
The Minnesota Association of Blind Students shall be a chapter of the National Federation of the Blind of Minnesota and shall furnish to the President of the National Federation of the Blind of Minnesota annually, on or before June 1, a list of the names and addresses of its members and elected officers. A copy of the constitution of the Minnesota Association of Blind Students and amendments thereto shall be sent to the President of the National Federation of the Blind of Minnesota without delay. The Minnesota Association of Blind Students shall not be merely a social organization but shall formulate programs and actively work to promote the economic and social betterment of the blind. This organization shall comply with the provisions of the Articles of Incorporation and Bylaws of the National Federation of the Blind of Minnesota and the provisions of the contract appearing on the back of the charter of affiliation issued to state affiliates by the National Federation of the Blind. Policy decisions of the National Federation of the Blind and the National Federation of the Blind of Minnesota (whether made by the national convention or the national Board of Directors or the state convention or the state Board of Directors) are binding on this organization, and this organization shall participate affirmatively in carrying out such policy decisions.
Article IX: DUES
There shall be no dues for this organization in addition to dues for the National Federation of the Blind of Minnesota.
Article X: DISBURSEMENT OF FUNDS
The funds of this organization shall be deposited in a bank to be selected by the Treasurer with the approval of the President. All financial obligations of this organization shall be discharged by check issued on written order of the President and signed by the Treasurer and one other officer.
Article XI: DISSOLUTION
In the event of the dissolution, reorganization, or disaffiliation of this organization, its assets shall be given to the National Federation of the Blind of Minnesota.
Article XII: AMENDMENTS
This constitution may be amended at any regular meeting of this organization by an affirmative vote of two thirds (2/3) of the regular members present and voting, provided the proposed amendment has been submitted in writing and read at a previous regular meeting. No amendment shall take effect until approved by the Board of Directors of the National Federation of the Blind of Minnesota.
